We at Norbert Health, Inc. (“Norbert,” “we,” “us,” or “our”) have created this privacy policy (this “Privacy Policy”) because we know that you care about how information you provide to us is used and shared. This Privacy Policy relates to our information collection and use practices regarding biometric information that is collected and/or captured by our vital signs scanner (“Device”), processed by our proprietary health data and analytics platform (the “Platform”) that is made available to you as a web-app and a mobile app (collectively, the “Services”), and provided to purchasers of the Services (“Customers”).

If you are receiving this Privacy Policy then a Customer has identified you as an employee, contractor or authorized user of the Device. By using the Device, you are agreeing to the terms of this Privacy Policy.

Authorization/Consent

You hereby represent to us that Customer has 1) provided this Privacy Policy to you, 2) received a written release signed by you authorizing us to collect, store and process your Biometric Information for the purposes disclosed in this Privacy Policy, and 3) provided a Device for your use.

Biometric Information We Collect and/or Receive

When you use the Device, the Device will collect and/or capture your biometric information, including but not limited to your body temperature, heart rate, respiratory rate, SpO2, PWV, Blood Pressure, photographic images, thermographic images, and radiographic images (collectively, the “Biometric Information”).

How We Use and Share the Biometric Information

You authorize us to use your Biometric Information to provide Services to Customer, improve our Device and Platform, and to provide Customer and you with support regarding the foregoing.

You also authorize us to use and/or share your Biometric Information as described below.

1. Service Providers. We may engage other companies and individuals to perform certain business-related functions on our behalf. These other companies will have access to the Biometric Information only as necessary to perform their functions.
2. Aggregated Information. In an ongoing effort to better understand users of our Device and Platform, we might analyze your Biometric Information in aggregate form in order to operate, maintain, manage, and improve the Device and the Platform. This aggregate information does not identify you personally.
3. Business Transfers. As we develop our businesses, we might sell or buy businesses or assets. In the event of a corporate sale, merger, reorganization, sale of assets, dissolution, or similar event, your Biometric Information may be part of the transferred assets.

Disclosure

Except as set forth in this Privacy Policy, Norbert will not disclose or disseminate your Biometric Information without/unless: a) First receiving your written consent to such disclosure or dissemination from Customer; b) Disclosure is required by state or federal law, court order, municipal ordinance or other law enforcement authority or regulatory agency; or c) Disclosure is required pursuant to a valid warrant or subpoena issued by a court of competent jurisdiction.

Except as expressly set forth in this Privacy Policy, Norbert and Norbert Service Providers will not sell, lease, trade, or otherwise profit from your Biometric Information.

How We Protect the Information

We take commercially reasonable steps to protect your Biometric Information from loss, misuse, and unauthorized access, disclosure, alteration, or destruction. Please understand, however, that no security system is impenetrable. We cannot guarantee the security of our databases, nor can we guarantee that the information will not be intercepted while being transmitted over the Internet.

Retention Period

We will retain your Biometric Information only until the purpose for collecting or obtaining it has been satisfied.

Changes to This Privacy Policy

This Privacy Policy is effective as of the date stated at the top of this Privacy Policy. We may change this Privacy Policy from time to time with notice to you.
